Terms of service.

About these Terms

These Terms apply to your use of theprojektco.com (the “website”). The Projekt Co. is operated by The Projekt, Co., formed in Delaware (“TPC”, “we”, “us”). By using the website, you agree to these Terms. If you don’t agree, please don’t use it.

The website is information, not an offer

The website describes our work and how we work. It is general information, not an offer to provide services. Sending an inquiry, booking a call or receiving a proposal does not create a client relationship or commit either of us to a project. A proposal becomes binding only if the written document says so and it is accepted as that document requires. No work begins until we have both agreed the scope, price and terms in writing.

Paid work is governed by your written agreement

Services are governed by the applicable written proposal, scope of work or agreement for that work. Where it differs from anything on this website, the written terms for that work control. These Terms do not replace or change a written client agreement.

What we do, and what we don’t

We provide strategy, writing, design, development and communications work: positioning and messaging, brand identity, websites, pitch decks and business communications, and ongoing creative direction. We do not provide legal, tax, accounting, investment, securities or regulatory advice.

When we help design or write materials such as investor presentations, the financial, legal, regulatory and investment substance remains the responsibility of the client and its qualified advisers. We do not verify that substance. The client is responsible for the accuracy of facts and figures, any required disclosures, compliance with applicable law and regulation, and final approval of materials before they are used.

No guaranteed outcomes

We are responsible for doing the work we agree to do. We do not guarantee any particular business result, including investment, funding or capital raised, sales, revenue, conversions, valuation, approvals, acquisitions or other transactions, press coverage or audience response. Business decisions and their outcomes remain the client’s.

Payment

Fees, the payment schedule and accepted payment methods for any work are those set out in the applicable written proposal, scope of work or agreement. Depending on the work, that may mean payment in full, a deposit, milestone or split payments, recurring retainer fees, prepaid periods or another written schedule. No single payment schedule applies to all work.

Cancellation and refunds

Cancellation, termination and notice terms for any work are those in the applicable written agreement. If work ends early, we remain entitled to payment for work already performed and any other amounts due under that agreement, including committed third-party costs. Retainers end according to their written cancellation and notice terms; no minimum term applies to all retainers. Our Refund Policy explains how refunds and credits work.

Ownership of client work

Final deliverables. Ownership of, or a licence to, the final deliverables passes to the client only as the applicable written agreement provides, including its payment terms. Unless that agreement says otherwise, ownership of a project’s final deliverables passes when all amounts due for that project have been paid.

Our pre-existing materials. Unless a written agreement expressly says otherwise, we keep ownership of our processes, methods, know-how, systems, reusable code, libraries, templates, tools, internal frameworks and other materials we created independently of a client’s final deliverables.

Third-party materials. Fonts, software, photography, stock, plugins and other third-party materials remain subject to their own licences. We cannot transfer rights we don’t own.

Client materials. When a client gives us materials, information or instructions for the work, the client confirms that it has the rights and permissions needed for us to use them.

Confidentiality and NDAs

We treat client information as confidential by default, in the ordinary course of our work. For White Label work, an NDA is standard. For other work, we will sign an NDA on request or where the project warrants one. Where an NDA is needed, it is signed before confidential information requiring its protection is exchanged. Where a written agreement or signed NDA contains confidentiality terms, those terms control. An inquiry or conversation with us does not create a fiduciary, attorney–client, investment-adviser or other regulated professional relationship.

Portfolio and publicity

We may show work we created for a client in our portfolio and marketing, subject to the applicable written agreement, our confidentiality obligations, any NDA, any client restrictions and any permissions required. White Label work is private by default: we do not publish it, show it in our portfolio or credit ourselves publicly unless the client expressly authorizes that use in writing.

Our website and content

The website and its content, including text, design, images, case studies and code, belong to TPC or are used with permission. You may view the website and share links to it. Without our written permission, you may not: copy or republish substantial parts of the website or our creative work; remove ownership or attribution notices; scrape, crawl or systematically extract content or data, other than ordinary search-engine indexing; build a commercial dataset from the website; use our content or creative work to train, fine-tune or develop any artificial intelligence model or product; bypass technical restrictions, probe for vulnerabilities or interfere with the website; or suggest that we are affiliated with or endorse you.

Third-party services and links

The website uses or links to third-party services, including Formspree (our inquiry form), Cal.com (booking), Cloudflare (hosting), Google Fonts, YouTube and, for invoices, external payment providers. Those services operate under their own terms and privacy policies, and we don’t control their availability, policies or systems. This does not limit our responsibility for our own conduct.

Website availability

We work to keep the website accurate and running, but it is provided on an “as available” basis. We don’t promise that it will be uninterrupted or error-free, that third-party content will remain available, or that general information on it will always be current. This does not change any express commitment in a written client agreement.

Limitation of liability

To the maximum extent permitted by applicable law, TPC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost opportunities or lost data, arising from your use of the website or your reliance on information on it, including through third-party services. Nothing in these Terms limits liability for fraud or willful misconduct, or any liability that cannot be limited by law. Liability for paid work is governed by the applicable written client agreement.

Your responsibility

To the extent permitted by applicable law, you agree to indemnify TPC against third-party claims, and the reasonable costs of dealing with them, arising from your unlawful use of the website, your breach of these Terms, materials you submit to us without the rights needed to share them, or your misuse of our intellectual property.

Governing law and venue

These Terms, and any dispute arising out of or relating to them or to the website, are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The state and federal courts located in Clark County, Nevada have exclusive jurisdiction and venue, and you and TPC consent to them. Where a written client agreement contains its own governing-law, venue or dispute-resolution terms, those terms control for the work it covers.

Changes to these Terms

We may update these Terms. The updated version applies to use of the website from the date it is posted, shown by the effective date above. Changes to these Terms do not change any written client agreement.

General

If any part of these Terms is found unenforceable, the remaining provisions stay in effect. Not enforcing a provision is not a waiver of it. These Terms are the complete terms for use of the website.
